Welcome to the Wellspring Solutions App (the "App"), provided by Wellspring Solutions (Private) Limited ("Wellspring Solutions"). By accessing and using this App, you agree to comply with the following terms and conditions ("Terms"). Please read these Terms carefully before using the App. If you do not agree to these Terms, you should not use the App.

3.1 Chat with Employees: The App provides a chat feature that enables users to communicate with employees of Wellspring Solutions. You understand and acknowledge that any advice, guidance, or information provided through the chat feature is for informational purposes only and should not be considered as professional advice or a substitute for personalized consultation.

3.2 Upload Documents and Invoices: The App allows users to upload documents and invoices for review and processing by Wellspring Solutions. You represent and warrant that you have the necessary rights and permissions to upload such documents, and you grant Wellspring Solutions a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the uploaded materials for the purpose of providing the requested services.

 

 

Problem Reporting and Billing

4.1 Problem Reporting: Users may utilize the App to raise problems, issues, or flags related to the services provided by Wellspring Solutions. Wellspring Solutions will make reasonable efforts to address and resolve reported problems in a timely manner.

4.2 Billing and Payments: The App allows users to view billing statements and make payments for services rendered by Wellspring Solutions. All billing information provided must be accurate, complete, and up to date. Wellspring Solutions reserves the right to suspend or terminate access to the App for non-payment or any other breach of these Terms.

Intellectual Property

5.1 Ownership: The App and all its contents, including but not limited to text, graphics, logos, and software, are the intellectual property of Wellspring Solutions and are protected by applicable intellectual property laws.

5.2 Restrictions: You shall not reproduce, modify, distribute, or create derivative works based on the App or any of its contents without prior written consent from Wellspring Solutions.

6.1 App Availability: Wellspring Solutions makes no representation or warranty that the App will be uninterrupted, error-free, or secure. The Appis provided on an "as is" and "as available" basis.

Wellspring Solutions does not warrant the accuracy, completeness, or reliability of any information provided through the App.

6.3 Limitation of Liability: To the fullest extent permitted by law, Wellspring Solutions shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the App or any services provided through the App.

Termination

7.1 Termination by Wellspring Solutions: Wellspring Solutions reserves the right to suspend or terminate your access to the App at any time, without prior notice, for any reason, including but not limited to a violation of these Terms.

7.2 Termination by User: You may terminate your use of the App at any time by discontinuing its usage and deleting your account, if applicable.

Governing Law and Jurisdiction

8.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Wellspring Solutions is registered.

8.2 Jurisdiction: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in the jurisdiction where Wellspring Solutions is registered.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
